Building a Platform Designed with U.S. Securities Regulatory Requirements in Mind

ADBX Securities LLC is developing Franchisee.Club as a platform for franchise-related investment offerings. This case study describes technology work performed in support of a platform under development. It is provided for informational purposes only and does not constitute an offer, solicitation, recommendation, or description of currently available investment services.

Tuple built Franchisee.Club, a platform designed with U.S. securities regulatory requirements in mind that is intended to support access for eligible investors to own fractional stakes in franchise businesses. What sounds straightforward on paper is one of the most technically demanding builds in financial services. It was designed to support compliance with multiple US regulatory frameworks, integrating four specialized fintech partners, and delivering all of it through a clean, modern experience designed to build trust with investors. Our team designed the full system architecture, built Franchisee.Club from the ground up, integrated with third-party custody infrastructure partners, and developed compliance-orientated workflows alongside the code. This case study describes a pre-launch system design. Functionality described is subject to regulatory approval and final implementation.

The Opportunity

A Market Waiting to Be Unlocked

Franchise investment has traditionally been out of reach for most people. You need significant capital, you have to be operationally involved, and you're geographically tied to wherever the location is. Franchisee.Club identified a potential opportunity here: explore structuring franchise-related investments as securities in accordance with applicable regulations. This approach presents potential benefits as well as regulatory and operational complexities. The hard part was engineering a platform that could actually pull it off — and that's where Tuple came in.

What Franchisee.Club Needed to Do

Franchisee.Club's vision was a full-service investment platform where investors may in the future be able to browse offerings and participate in primary issuances; any secondary liquidity features would be subject to separate regulatory, operational, and business approvals. Getting there meant satisfying three separate SEC regulatory frameworks simultaneously, integrating four specialized fintech partners into one seamless experience, and designing a custody and funds-flow model intended to support segregation, recordkeeping, and control requirements.

What We Built

We delivered the full pre-launch Franchisee.Club platform covering every stage of the investor lifecycle, including onboarding, funding, and portfolio management features. Every piece was designed with compliance considerations integrated into the design so that the regulatory requirements were baked into the architecture rather than bolted on after the fact.

Capability AreaWhat We Delivered
Onboarding & ComplianceMulti-step investor registration with integrated KYC/AML verification and regulatory gating
Securities WorkflowsEnd-to-end securities issuance and architecture that could accommodate additional trading-related workflows in the future, if separately approved and implemented
Portfolio & ReportingInvestor dashboards for holdings, performance tracking, and transaction history
Funding InfrastructureMulti-method deposits and withdrawals with fraud prevention and fund segregation
Mobile ApplicationCross-platform app with biometric security and native fintech SDK integrations
Admin & OperationsBack-office tooling for compliance, user management, and operational reporting

The Integration Ecosystem

Rather than building generic connectors, we went deep on each partner's API to unlock the full capability of their platform. Here's how each piece fits together and what our engineering team built on top of it.

CategoryWhat It Powers
Identity & ComplianceKYC/AML verification, biometric checks, accredited investor validation
Bank ConnectivitySecure account linking, identity cross-matching, balance verification
Payment ProcessingInstant and standard ACH transfers, fund segregation, funds-flow routing designed to support custody integration
Custody & SettlementCustody-related workflows, ledger allocation, and settlement support
Mobile ApplicationCross-platform iOS/Android app with biometric authentication
CommunicationsTransactional emails, SMS notifications, security alerts
Investor RewardsLoyalty program integration for engagement and retention
Investor Verification Provider

The provider handles the KYC and AML compliance layer. Every investor has to clear identity verification before they can touch any investment functionality. We integrated the provider natively into the mobile app through their Flutter SDK, which gave us real-time document capture with guided overlays, biometric scanning, and webhook-driven status updates that feed directly into our workflow engine.

  • Government-issued ID validation with document authenticity checks
  • Facial biometric matching with liveness detection
  • Real-time screening against global sanctions lists (OFAC, UN, EU) and PEP databases
  • Employment, income, and net worth collection in accordance with applicable KYC/AML requirements under FinCEN and related regulations
  • Additional accredited investor verification for Regulation D access
  • State-level eligibility checks based on securities registration status
Bank Account Linking

The provider connects investor bank accounts without the platform ever touching raw bank credentials. We built an intelligent caching layer on top of the provider's APIs so returning investors move through the flow significantly faster, only re-running checks that are strictly necessary given what's changed since their last session.

  • Secure account linking with returning user recognition
  • Verified account details retrieved
  • Identity cross-referencing against bank records to catch mismatches
  • Real-time balance checks before every deposit
  • Automated detection of supported instant payment networks including RTP and FedNow
Payment Processing

The payment processor handles the ACH payment rails, supporting both instant transfers via RTP and FedNow as well as standard ACH for banks that don't yet support real-time payments. We designed a funds-flow model intended to support controlled movement of investor funds in accordance with the final operational and regulatory structure. This approach was intended to support traceability and operational control.

  • Near-instant deposits via RTP and FedNow
  • Standard ACH as a fallback for broader bank coverage
  • Investment deposits and platform fees routed to separate accounts
  • Automated detection of the fastest available payment channel per investor bank
Custody and Settlement

This is where our engineering team went deepest. The platform is designed to integrate with third-party custody providers, subject to final regulatory, legal, and operational design. We built integration capabilities designed to support custody workflows to automate the full custody lifecycle. Every incoming deposit is automatically allocated to the correct investor's ledger so there's complete traceability from bank account all the way through to the custody account.

  • Individual investor accounts provisioned upon KYC approval, each with a unique reference identifier
  • Omnibus custody with per-investor ledger allocation so every dollar is attributed correctly
  • Automated securities movement between accounts when trades execute
  • Recordkeeping and transfer-related workflows for ownership changes and account movements
  • Asset lifecycle management as new security types are registered on the platform

The Investor Journey on Franchisee.Club

From the investor's side, the experience was designed to be straightforward while still requiring identity checks, eligibility review, disclosures, and agreement completion before participation. Behind the scenes, seven phases and four partners are executing in sequence. Here's what actually happens:

#PhaseWhat Happens
1Verification GatePlatform confirms identity, custody account, compliance status, and signed agreements
2Account RecognitionReturning investors are recognized and previously linked bank accounts surface immediately
3Bank LinkingFirst-time investors connect; returning investors confirm their existing connection
4Smart VerificationThe system runs only the checks that are necessary, skipping anything already completed
5ConfirmationAfter submission, the investor receives confirmation and the transaction remains subject to any required compliance, operational, and account-level checks
6Compliance HoldIf any approvals are still pending, funds are held securely and processed once cleared
7Funds DeliveredFunds would be processed in accordance with the final approved custody and operational framework with full ledger allocation and a notification is sent to the investor

Why Tuple

We've worked in regulated financial systems long enough to know that compliance isn't something you can retrofit. It has to be the starting point. When we scoped this project, we began with the regulatory requirements and worked backwards into the technical design, which is the opposite of how most engineering teams approach it.

Regulatory-First EngineeringWe start with the regulatory requirements and build the platform architecture around them
Multi-Partner OrchestrationWe have deep experience integrating KYC, payments, banking, and custody systems into a single unified workflow
Regulatory ExpertiseWe design systems to accommodate business requirements informed by legal and compliance teams
Full-Stack DeliveryFrom backend infrastructure to mobile applications to operational documentation, we supported the build across multiple workstreams
Documentation as a DeliverableSpec documents, workflow diagrams, and compliance narratives are produced alongside the code, not after it
Cost-Conscious ArchitectureIntelligent caching and early-termination patterns keep costs manageable as the platform scales
